Welcome to Ucoria LLC ("Ucoria," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our websites, mobile applications, and other online products and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Acceptance of Terms
By creating an account, accessing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility

- We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or incomplete.

Ucoria provides audio and video-based social entertainment platforms, including but not limited to:
- Voice chat rooms and audio social networking features
- Live video streaming with interactive audience participation
- Short-form video creation and sharing tools
- Social gaming and interactive entertainment features
- Messaging and community communication tools
- Virtual events and live entertainment experiences
- Virtual gifting and in-app purchase systems
We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
5. User Content
5.1 Your Content
Our Services allow you to create, upload, post, share, and otherwise make available content, including text, images, audio, video, and other materials ("User Content"). You retain ownership of your User Content, subject to the rights you grant us below.
5.2 License Grant
By submitting User Content to our Services, you grant Ucoria a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and Ucoria's business operations, including for the purpose of promoting and redistributing part or all of the Services.
5.3 Content Representations
You represent and warrant that:
- You own or have the necessary rights, licenses, consents, and permissions to submit your User Content and to grant the license described above.
- Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or other personal or proprietary rights.
- Your User Content complies with these Terms and all applicable laws and regulations.
6. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Posting content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Impersonating any person or entity, or falsely claiming an affiliation with any person or entity.
- Engaging in harassment, bullying, stalking, or intimidation of other users.
- Uploading or transmitting viruses, malware, or other harmful code.
- Attempting to gain unauthorized access to our systems, other user accounts, or any computer networks connected to our Services.
- Using bots, scripts, or automated methods to interact with our Services without our prior written consent.
- Interfering with or disrupting the integrity or performance of our Services.
- Collecting or harvesting personal information of other users without their consent.
- Using our Services for any commercial purpose not expressly permitted by us.
- Facilitating or encouraging any violation of these Terms.
- Engaging in any activity that exploits, harms, or threatens to harm minors.
- Circumventing any content filtering, moderation, or security measures.
7. Virtual Items and In-App Purchases
- Our Services may offer virtual items, currencies, gifts, or other digital goods ("Virtual Items") available for purchase with real currency.
- Virtual Items have no real-world monetary value and cannot be exchanged for real currency, goods, or services outside our Services, unless explicitly stated otherwise.
- All purchases of Virtual Items are final and non-refundable, except as required by applicable law.
- We reserve the right to modify, manage, control, or eliminate Virtual Items at any time, with or without notice.
- You acknowledge that you do not acquire any ownership interest in Virtual Items and that your license to use Virtual Items is limited and subject to these Terms.
8. Intellectual Property
The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of Ucoria LLC and its licensors. The Services are protected by copyright, trademark, trade dress, patent, and other intellectual property laws of the United States and foreign countries. Our trademarks, service marks, and trade dress may not be used in connection with any product or service without the prior written consent of Ucoria LLC.
9. Content Moderation
We reserve the right, but are not obligated, to monitor, review, and remove User Content at our sole discretion for any reason, including but not limited to violation of these Terms or applicable laws. We may use automated systems, including artificial intelligence, to assist in content moderation. We are not responsible for any failure to remove or delay in removing User Content.
10. Copyright Infringement (DMCA)
We respect the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information:
- A physical or electronic signature of the copyright owner or authorized agent.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing and its location on our Services.
- Your contact information (address, telephone number, and email address).
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

Our Services may contain links to or integrations with third-party websites, services, or applications that are not owned or controlled by Ucoria. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that Ucoria shall not be responsible or liable for any damage or loss caused by the use of any such third-party services.
12. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. UCORIA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UCORIA LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES. IN NO EVENT SHALL UCORIA'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS YOU HAVE PAID TO UCORIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
14. Indemnification
You agree to indemnify, defend, and hold harmless Ucoria LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration administered in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.
16. Termination
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
18. Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Ucoria LLC concerning the Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Ucoria.
